Lawn replacement starts by taking the old lawn out: cutting and lifting the existing sod, weeds and roots, so the new turf goes onto clean, prepared ground instead of on top of a lawn that has already failed. Ask how deep they cut, where the old sod and soil go, whether they add topsoil before laying the new sod, and how long the yard will be torn up. Ask too whether the quote covers removal and disposal or only the new sod.
